Wholesale access, pricing, and use of the BedHead PJs Wholesale Portal (“Portal”) are available only to approved retail businesses (“Retailer”). By creating an account, accessing the Portal, or placing an order, Retailer agrees to the following Terms & Conditions (“Terms”). BedHead PJs reserves the right to update or modify these Terms at any time.

1. Account Eligibility, Certification & Compliance

Wholesale purchasing is available only to approved U.S.-based retail businesses purchasing BedHead PJs products strictly for resale. Retailer must always maintain a valid reseller certificate and provide updated documentation upon request. Retailer is responsible for ensuring that all business, billing, and shipping information in the Portal remains accurate and current.

BedHead PJs reserves the right, at its sole discretion, to approve, refuse, suspend, or revoke wholesale access at any time, with or without notice. Retailers may not transfer, assign, sell, or share their wholesale account. Retailer is responsible for maintaining the confidentiality of its login credentials and for all activity and orders placed under its account.

Retailer is solely responsible for complying with all applicable federal, state, and local laws related to retail operations, taxation, advertising, consumer protection, and product handling.

2. Authorized Sales Channels, MAP & Brand Use

Retailers may sell BedHead PJs products only through their own brick-and-mortar store locations listed on their wholesale application and through their own business-owned website. Sales through third-party marketplaces or platforms, including but not limited to Amazon, Walmart, eBay, Poshmark, TikTok Shop, Google Shopping, Meta Shops, Etsy, or similar platforms, are strictly prohibited. Retailers may not sell through drop-ship partners, affiliate networks, subscription boxes, unauthorized pop-ups, flea markets, discount or off-price channels, or liquidation venues, nor may they sell, transfer, export, or resell BedHead PJs products outside of the United States.

Retailers must adhere to BedHead PJs’ published MAP/MSRP guidelines in all forms of advertising, including websites, email marketing, paid advertisements, social media, and digital promotions. Retailers may not bid on, target, or use BedHead PJs trademarks or brand terms in paid advertising channels without written approval.

BedHead PJs retains all rights to its trademarks, logos, product images, lifestyle photography, descriptions, and brand assets. Retailers may use approved assets solely to promote and sell authentic BedHead PJs products and may not modify, alter, repackage, bundle, or create gift sets without written authorization. Retailers may not use BedHead PJs branding in any business name, domain, handle, or marketing identity, nor make product claims beyond those provided by BedHead PJs.

3. Product Availability, Ordering, Pricing & Payment

All wholesale purchases are limited to inventory made available by BedHead PJs at its sole discretion. BedHead PJs may restrict SKUs, limit quantities, block launches, or modify inventory visibility at any time without notice. BedHead PJs reserves the right to cancel, refuse, or adjust any order at any time for reasons including, but not limited to, inventory availability, pricing errors, account status, or suspected misuse.

All orders placed through the Portal are final once submitted. Orders may not be edited or canceled by the Retailer. BedHead PJs may impose minimum order quantities, case-pack requirements, order limits, or other purchasing restrictions at any time.

Wholesale pricing, discounts, and promotional programs may be modified or discontinued at BedHead PJs’ discretion without notice. Payment in full is required at checkout via approved payment methods, and orders will not ship until payment is successfully processed. Retailer is responsible for all fees charged by its payment provider. Chargebacks are strictly prohibited, and improper disputes may result in suspension or termination of wholesale access. BedHead PJs reserves the right to recover fees, costs, or damages associated with chargebacks.

All pricing, inventory data, Portal content, and internal communications are confidential and may not be shared, distributed, or disclosed in any form.

4. Portal Access, Use & Availability

The Portal may be used solely for placing authorized wholesale orders. Retailers may not use bots, scraping tools, automated scripts, or other unauthorized methods, attempt to bypass system restrictions or order limits, create multiple accounts for the same business, or use the Portal for any unauthorized purpose.

BedHead PJs may suspend or restrict Portal access for maintenance, technical issues, security concerns, or operational needs. BedHead PJs is not liable for losses, missed sales, or business impacts resulting from Portal downtime or limited access.

5. Shipping, Fulfillment, Returns & Claims

Retailer is responsible for all shipping fees. BedHead PJs is not responsible for carrier delays, weather-related issues, missed delivery windows, or lost or stolen packages once marked as delivered. Orders may ship in multiple cartons or separate shipments, and BedHead PJs may select the carrier or service level if the Retailer’s chosen option is unavailable.

All wholesale sales are final. Claims for damaged, defective, or incorrect items must be submitted within seven (7) days of delivery and must include the order number and clear photographic documentation of the shipping carton, packaging, and affected items. BedHead PJs may, at its discretion, offer a replacement, credit, or refund for approved claims and may require defective items to be returned prior to issuing credit. Returns will not be accepted for unsold inventory, buyer’s remorse, normal wear and tear, or damage occurring after delivery.

6. Monitoring, Enforcement & Violations

BedHead PJs may monitor publicly available Retailer websites, social media accounts, and product listings to ensure compliance with these Terms. Violations may result in order cancellation, account suspension, permanent termination, or legal action, at BedHead PJs’ sole discretion.

7. Termination

BedHead PJs may terminate wholesale access at any time, with or without notice and for any reason. Upon termination, Retailer must immediately cease use of BedHead PJs trademarks and brand assets, discontinue use of the Portal, and continue to comply with MAP guidelines for any remaining inventory.

8. Survival

Provisions relating to confidentiality, MAP/MSRP and advertising restrictions, intellectual property, resale and channel restrictions, limitation of liability, and governing law shall survive termination.

9. Limitation of Liability

To the fullest extent permitted by law, BedHead PJs shall not be liable for lost profits, lost revenue, business interruption, or consequential, incidental, or indirect damages. BedHead PJs’ total liability for any claim shall not exceed the amount paid for the specific order giving rise to the claim.

10. Force Majeure

BedHead PJs is not responsible for delays or failure to perform due to events beyond its reasonable control, including natural disasters, supply chain disruptions, carrier issues, labor disputes, war, pandemics, or government actions. 

11. Governing Law & Updates to Terms

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in the state or federal courts located in New Jersey. BedHead PJs may update these Terms at any time, and continued use of the Portal constitutes acceptance of the updated Terms.
